Unless otherwise indicated, this Web Site and its contents are the property of Charity Universe, Inc., a corporation registered with the State of Florida, provider of the membership service (Auction Match Maker) associated with CharityAuctionCalendar.com, and/or its subsidiaries, affiliates, or assigns, which is part of the Charity Universe family. You are authorized to your membership access for your personal, non-commercial use only. In doing so, you may not remove or in any way alter any trademark, copyright, or other proprietary notice. Except as allowed in the preceding sentence, you may not modify, copy, distribute, republish, commercially exploit, or upload any of the material on this Web Site without the prior written consent of Charity Universe, Inc. No intellectual property or other rights in and to this Web Site, other than the limited right to use set forth above, are transferred to you.
By accessing this Web Site, you agree to the following terms and conditions. If you do not agree, you have no right or license to access this Web Site.

Membership
Your membership with Charity Universe, Inc. is on a prepaid basis only.
Your membership is for you and those directly employed or compensated by your company, or a named individual you designate to make requests on your behalf.

Memberships are non-transferable. You cannot transfer your membership to another person. Unused request credits on a membership cannot be transferred to another person.

Memberships cannot be sold and have no cash value. If you feel you no longer have a need for your membership you may cancel at any time (please see our cancellation policy below).
Payment
Your payment will be drafted immediately when you sign up on our website and your membership will be effective that day.

Your subscription will expire as follows:
BASIC membership will expire 1 calendar month from the effective date of membership
PROFILE membership will expire one (1) calendar year from the effective date
PREMIER membership will expire one (1) calendar year from the effective date

Payment will be drafted on your expiration date thereafter until you cancel your membership in writing via email. Make sure you receive a confirmation of cancellation from us to confirm receipt of your request. If you would like to request a different due date for your membership to renew we will be glad to work with you. If we change your due date, the month that the change is made in will be prorated.

Cancellation Policy
Cancellations must be in writing and must be received at least 7 days before your membership expiration date. You can send us your cancellation notice by emailing us at Gala411@gmail.com. Once your cancellation request is received your membership will cancel the day before it is to renew. No refund will be given.

If your cancellation notice is not received at least 7 days in advance of your expiration date, you will be charged on a pro-rated basis for any days that fall outside of the 7 day requirement.

Termination of Service
Charity Universe, Inc. and its related services reserve the right to refuse service to anyone.

Violations of the Terms outlined within this User Agreement, including sharing your log-in information with someone outside your company, spamming of nonprofit organizations found within the Calendar, or verified unethical behavior that reflects poorly on the fundraising auction industry may be grounds for termination.
If your membership is cancelled for violation of Terms explained here, no refunds will be issued.

General Terms

CHARITY UNIVERSE MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THIS WEB SITE OR ITS CONTENTS, WHICH ARE PROVIDED FOR USE “AS IS.” CHARITY UNIVERSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE WEB SITE AND ANY WEB SITE WITH WHICH IT IS LINKED. It is your responsibility to evaluate the accuracy and completeness of all information, opinions and other material on this Web Site or any Web Site with which it is linked. Membership price information is subject to change without notice.

To the fullest extent permitted by applicable laws, Charity Universe, Inc. and its employees, agents, suppliers, and contractors shall in no event be liable for any claims, charges, demands, damages, liabilities, losses, and expenses of whatever nature and howsoever arising, including without limitation any compensatory, incidental, direct, indirect, special, punitive, or consequential damages, loss of use, loss of data, loss caused by a computer or electronic virus, loss of income or profit, loss of or damage to property, claims of third parties, or other losses of any kind or character, even if Charity Universe, Inc. has been advised of the possibility of such damages or losses, arising out of or in connection with the use of this Web Site or any Web Site with which it is linked. You assume total responsibility for establishing such procedures for data back up and virus checking as you consider necessary.

To the extent that portions of this Web Site such as Auctioneer Profiles, our Blog, chat room or bulletin boards provide users an opportunity to post and exchange information, ideas and opinions (“Postings”), BE ADVISED THAT CHARITY UNIVERSE HAS NO OBLIGATION TO SCREEN, EDIT, OR REVIEW POSTINGS PRIOR TO THEIR APPEARANCE ON THIS WEB SITE, and Postings do not necessarily reflect the views of Charity Universe, Inc. To the fullest extent permitted by applicable laws, Charity Universe, Inc. shall in no event have any responsibility or liability for the Postings or for any claims, damages, or losses resulting from their use and/or appearance on this Site.

Charity Universe, Inc. reserves the right to monitor all Postings and to remove any which it considers in its absolute discretion to be offensive or otherwise in breach of these terms and conditions.

You hereby agree to indemnify and hold harmless Charity Universe, Inc. from and against any and all claims, charges, demands, damages, liabilities, losses, expenses, and liabilities of whatever nature and howsoever arising (including but not limited to any legal or other professional fees and the costs of defending or prosecuting any claim and any loss of profit, goodwill, and any other direct or consequential loss) incurred or suffered by Charity Universe, Inc. directly or indirectly by reason of any act or omission which you commit in breach of these terms and conditions and the obligations and warranties contained in them.
